2. Minutes of the last Annual General Meeting held at Carpenter’s Hall, 1 Throgmorton Avenue, London EC2N 2JJ, on Thursday 14th June 2007 (see attached).

3.Election of the Executive Committee (Directors/Trustees)

Under Article 32 of the Articles of Association, one third of the Executive Committee must retire annually by rotation. The under mentioned will retire by rotation, and submit themselves  for re-election:

Article 32:

In accordance with Article 32, the under mentioned Trustees who represent one third of the total number, shall retire by rotation, and offer themselves for re-appointment:

Article 39:

In accordance with Article 39, the under mentioned changes have or will occur since the last Annual General Meeting:

Mr John Cottrell has assumed responsibility for Somerset following the retirement of Mr Quentin Elston.

Mr Christopher Hodson retired from the Executive Committee in March 2008, and a vacancy exists for the County of Nottinghamshire.

Mrs Jenny McGowran is to retire as Chairman of the Almshouse Association with effect from 30 June 2008, and her successor will be announced after the meeting of the Executive Committee to be held at 11 am , Wednesday 11 June 2008.  Mrs McGowran is also to retire from the Executive Committee on the same date, and a vacancy will exist for the Counties of Staffordshire, Warwickshire and the West Midlands.
